I think technically and legally, the Attorney (under Power Of Attorney) can only act on behalf of the donor and at all times considering the best interests of such donor. Legally they cannot force the donor to do anything against that donors wishes.

Yep. Your the legal owner of the shares only when the holding is registered on the share register.
